Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and Skysavv OPC Private Ltd ("Skysavv", "we", "us"), incorporated under the Companies Act 2013 with its registered office at Chembur, Mumbai – 400074, Maharashtra, India.

By accessing or using any Skysavv service, including Paygent, Kosha, and ACOS AI (collectively, the "Services"), you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Services.

You must be at least 18 years of age to use the Services. By using the Services, you represent and warrant that:

• You are at least 18 years old (or the applicable age of majority in your jurisdiction).
• You have the legal capacity to enter into a binding agreement.
• Your use of the Services does not violate any applicable law or regulation.
• If using the Services on behalf of an organisation, you are authorised to bind that organisation to these Terms.

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration and keep it updated.
• Maintain the security of your password and notify us immediately of any unauthorised access at manoj@skysavv.com.
• Accept responsibility for all activities that occur under your account.
• Not share your account credentials with third parties.

Skysavv reserves the right to suspend or terminate accounts that violate these Terms or that we reasonably suspect are being used for fraudulent purposes.

Skysavv provides AI-powered tools and platform services. We reserve the right to modify, suspend, or discontinue any feature or service at any time with reasonable notice where practicable. We will not be liable for any modification, suspension, or discontinuation of Services.

You agree to use the Services only for lawful purposes. You must not:

• Use the Services to violate any applicable Indian or international law or regulation, including the Information Technology Act, 2000 and rules thereunder.
• Transmit any content that is unlawful, defamatory, obscene, or infringes third-party intellectual property rights.
• Attempt to gain unauthorised access to any part of the Services or related systems.
• Use automated tools (bots, scrapers, crawlers) to extract data from the Services without our prior written permission.
• Reverse engineer, decompile, or disassemble any part of the Services.
• Use the Services to engage in fraudulent transactions, money laundering, or other financial crimes.
• Interfere with or disrupt the integrity or performance of the Services or third-party data connected to them.
• Misrepresent your identity or affiliations.

Violation of these provisions may result in immediate account termination and, where applicable, referral to law enforcement authorities.

The Skysavv platform — including all software, code, designs, trademarks, and AI-generated content produced by our systems — is owned by or licensed to Skysavv OPC Private Ltd and is protected under Indian intellectual property law including the Copyright Act, 1957 and the Trade Marks Act, 1999, as well as applicable international conventions.

Your data — including documents, queries, and content you upload to the Services — remains your property. By uploading content, you grant Skysavv a limited, non-exclusive, royalty-free licence to process that content solely to provide you with the Services. We do not claim ownership of your content.

You may not copy, reproduce, distribute, or create derivative works from any part of the Services without our prior written consent.

Paid features of the Services are subject to subscription fees as described on our pricing page. All payments are processed by Razorpay Software Pvt Ltd, an RBI-authorised Payment Aggregator.

• By initiating a payment, you authorise Razorpay to charge your payment instrument for the applicable fees.
• Subscription fees are charged in advance on a recurring basis (monthly or annual, as selected at checkout).
• You are responsible for all applicable taxes, including GST, on your subscription.
• Prices may change with at least 30 days' advance notice. Continued use after the price change date constitutes acceptance of the new price.
• By making a payment, you also agree to Razorpay's Terms of Service and Privacy Policy.

All subscription fees are non-refundable except as expressly stated in our Refund and Cancellation Policy, which is incorporated into these Terms by reference. Please review that policy before subscribing.

Our Services use artificial intelligence to generate content, analysis, and recommendations. You acknowledge that:

• AI-generated outputs may contain errors, inaccuracies, or incomplete information.
• AI outputs are provided for informational purposes only and do not constitute professional advice (legal, financial, medical, or otherwise).
• You are solely responsible for verifying AI-generated outputs before relying on them for any purpose.
• Skysavv makes no warranty regarding the accuracy, completeness, or fitness for purpose of AI-generated content.

The Services integrate with or link to third-party services including Razorpay, AI model providers, and analytics tools. These third parties operate under their own terms and privacy policies. Skysavv is not responsible for the content, practices, or policies of any third-party service. Use of such services is at your own risk.

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any defects will be corrected. We do not warrant the accuracy or reliability of any content obtained through the Services.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SKYSAVV OPC PRIVATE LTD AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES.

In no event shall Skysavv's total liability to you for all claims exceed the amount paid by you to Skysavv in the three months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under applicable Indian law, including the Consumer Protection Act, 2019.

You agree to indemnify, defend, and hold harmless Skysavv OPC Private Ltd and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Services; (b) your violation of these Terms; or (c) your infringement of any third-party rights.

Either party may terminate this agreement at any time. You may terminate by deleting your account. We may suspend or terminate your access immediately and without notice if:

• You breach any provision of these Terms.
• We are required to do so by law or a regulatory authority.
• Continued provision of Services to you is no longer commercially viable.

On termination, your right to use the Services ceases immediately. Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination.

These Terms are governed by the laws of India. Any dispute, controversy, or claim arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiations between the parties within 30 days of written notice.

If not resolved through negotiation, disputes shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996 (as amended), with the following terms:

• Seat of arbitration: Mumbai, Maharashtra, India.
• Language: English.
• Number of arbitrators: one, appointed by mutual agreement of the parties.

Nothing herein affects your statutory rights as a consumer under the Consumer Protection Act, 2019 (India), including the right to approach a Consumer Disputes Redressal Commission. For users in the United States, nothing in these Terms limits your rights under applicable federal or state consumer protection laws.

We reserve the right to modify these Terms at any time. Material changes will be notified via email or a notice on our platform at least 14 days before taking effect. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Services and may delete your account.
